TERMS OF TRADE & ENGAGEMENT

Moneta Bookkeeping Specialists' commitment to transparent engagement.

Our Terms of Trade and Engagement exist to ensure clarity, transparency and confidence from the very beginning of our working relationship. They outline how we work, what you can expect from us, and what we require in return to deliver our services efficiently and with integrity. By setting clear expectations around scope, communication, invoicing and responsibilities, we remove ambiguity and create a consistent foundation for a smooth and proactive engagement.

Our goal is simple. To make working with us straightforward, professional and mutually respectful, so you can stay focused on running your business while we take care of the details.

SCOPE OF SERVICES

At Moneta Bookkeeping Specialists Pty Ltd we tailor our solutions to fit your business needs, ensuring you get the right level of support at a fair price. Bookkeeping clean up and new client engagement available (minimum 4 hour block).

We offer fixed fee retainers available on a weekly, fortnightly, or monthly basis. If you prefer we offer services on an hourly basis. We're flexible and happy to work in a way that best suits your needs. Please see our Pricing Schedule for further information. As a registered BAS agent with the Tax Practitioners Board (TPB) you can take comfort in knowing your matter is in qualified and experienced hands.

We maintain professional indemnity insurance at the level required by the TPB, in line with our compliance obligations under the Tax Agent Services Act 2009 (NT).

To clarify, our engagement does not include the following services:

• Preparation of income tax returns;

• Preparation of fringe benefits tax (FBT) returns;

• Variation of PAYG and FBT instalments on business activity statements;

• Technical advice on income tax or fringe benefits tax law;

• Representing you before the A TO on matters related to tax agent services.

For these services, or any other matters beyond our expertise, we recommend consulting your registered tax agent.

INCLUSIONS

Moneta service inclusions will be fully itemised within an issued Engagement Letter provided to you after an initial discovery conversation.

Each item of service inclusion will be fully defined and itemised by service description and schedule of occurance.

Moneta service inclusions are individually tailored per client to meet your exact needs.

RESPONSIBILITY

We will perform our services with due professional care and in accordance with the applicable bookkeeping standards. However, the accuracy of financial records depends on the accuracy and completeness of the information you provide.

You agree to:

  • Provide all necessary documents in a timely manner
  • Respond promptly to any request for clarification or information
  • Notify us of any changes within your Business structure, operations and finances

FEES AND PAYMENTS

Our services will be provided based on the following pricing schedule:

• One-Time Services (e.g. Setup & Cleanup): per hour charges apply.

• Fixed Fee Retainer (available on a weekly, fortnightly or monthly basis) available in our signature Bronze, Silver or Gold packages.

• Hourly Rates

Invoices will be issued weekly, fortnightly or monthly depending upon our services and payments are due within 14 days from our invoice date. Late payments may incur a 2% late fee. For bookkeeping clean-ups and new client engagements, our rate is charged per hour. To get started, we require an upfront payment for a 4-hour block.

During the first six-eight weeks, we typically work on an hourly basis to evaluate and refine your systems and processes. After this initial period, we transition to a fixed-fee retainer, available on a weekly, fortnightly, or monthly basis. If you prefer to continue an hourly basis, that's absolutely fine too!

Pricing varies based on the services you require. We tailor our solutions to fit your business needs, ensuring you get the right level of support at a fair price. We are committed to delivering value-for-money and our prices will be periodically reviewed in line with market forces and CPI. We will advise you in advance if our prices change.

PERIOD OF ENGAGEMENT

Our engagement will be deemed to commence upon our receipt of the signed engagement letter, unless both parties agree in writing to a different commencement date. Unless otherwise agreed in writing for a fixed term, this engagement will remain in effect on an ongoing basis until terminated by either party.

Unless a limited engagement period has been agreed to by both parties, our engagement will be taken to continue indefinitely until either party terminates the engagement.

If required, we may periodically issue a fresh engagement letter to reflect changes recommended and/or required by regulatory authorities including The Tax Practitioners Board.

Each party may terminate or propose changes to the terms or scope of this engagement by providing at least 30 days' written notice.

PRE-ENAGAGEMENT BOOKKEEPING MATTERS

Moneta Bookkeeping Specialists will not be held responsible for the accuracy or completeness of any financial data or records entered prior to the commencement of our engagement. Please be aware that inaccuracies or incomplete data from earlier periods may affect our ability to deliver our services effectively.

Common issues we may encounter include:

• Unreconciled bank accounts, credit cards, or loan accounts over an extended period;

• Unreconciled deposits and payments containing discrepancies or errors;

• Debtor, creditor, and inventory subsidiary ledgers that have not been reconciled with the general ledger;

• Outstanding Business Activity Statements (BAS) awaiting lodgement;

• GST and PAYG control accounts with unexplained opening balances;

• A poorly structured chart of accounts.

If such issues are identified, we will bring them to your attention and discuss the available options. Typically, these include:

  1. Referring the issue to you for your tax agent to resolution- this may involve allocating unresolved amounts to a suspense account if the general ledger or subsidiary ledger balances are affected
  2. Engaging us to investigate and rectify on your behalf.

Should you choose the second option, we would be happy to assist; however, our time spent addressing these matters will be billed separately as an additional service outside the scope of our standard engagement.

OUR OBLIGATIONS AS YOUR BAS AGENT

Moneta Bookkeeping Specialists is a registered BAS agent, and our conduct is regulated by the Tax Practitioners Board (TPB) and the legislated Code of Professional Conduct (Code).

The Code outlines the professional and ethical standards we are required to uphold, including:

  • Acting with honesty and integrity;
  • Maintaining independence and managing conflicts of interest;
  • Safeguarding client confidentiality;
  • Providing competent services;
  • Complying with additional responsibilities, such as:
    • Supporting the proper administration of tax law
    • Avoiding false or misleading statements to the ATO
    • Maintaining professional indemnity insurance; and
    • Responding to TPB requests or directions.

SAFE HARBOUR PROVISIONS

As a client of a registered BAS agent, you may be eligible for protection under the ATO's 'Safe Harbour' provisions. These provisions may shield you from certain administrative penalties if:

• a false or misleading statement is made as a result of our carelessness, provided you gave us accurate and complete information in a timely manner; or

• a required document (such as BAS) is lodged late due to our carelessness, provided we are given the necessary information in time to lodge the document correctly and on schedule.

These provisions are designed to offer clients additional peace of mind when working with a registered BAS agent.

YOUR RESPONSIBILITIES

As our client, you are responsibility for providing relevant and accurate information in a complete and timely manner to enable us to deliver the agreed BAS service. You must also retain and maintain appropriate records to support the transactions reported.

While we may request clarification when needed, please note that our role does not include auditing the information you provide.

In preparing your records, we will proceed on the basis that:

  • All income has been fully and accurately disclosed in the information you provide or grant us access to. If you received income through other means, it is your responsibility to inform us;
  • All capital purchases and expenses can be substantiated, and for any expenditure over $82.50 (GST inclusive), a valid tax invoice is held;
  • GST will only be claimed on capital purchases and expenses where a valid tax invoice has been provided.

Please be aware that providing false or misleading information to the Australian Tax Office (ATO ), or obstructing the administration of taxation law, may result in civil penalties under the law.

As part of this engagement, we are not performing a statutory audit and will not provide an opinion on the accuracy or fairness of your financial statements.

USE OF THIRD PARTY PROVIDERS

In the course of providing our services to you and your entities, Moneta Bookkeeping Specialists may engage third-party contractors or external service providers to carry out certain tasks on our behalf.

By entering into this agreement, you authorise us to disclose relevant information concerning your affairs and those of your entities to any third parties we deem appropriate for the purpose of delivering the agreed services.

We remain fully responsible for the conduct, supervision, and performance of any third-party contractors or outsourced providers we engage. This includes ensuring that the services delivered meet the standards outlined in this engagement.

In addition, we and our contractors may use external IT service providers-such as cloud-based platforms (e.g., Google, Microsoft, Xero, MYOB, etc.)-to facilitate the performance of services under this engagement. The use of such services may result in your information being stored or processed overseas. You also authorise us and any of our engaged third-party contractors to disclose relevant information to these external IT service providers as necessary.

We take reasonable steps to ensure that any external parties we work with uphold confidentiality and data security standards consistent with our professional obligations.

OWNERSHIP OF DOCUMENTS AND SOFTWARE

Our firm follows the guidance issued by the Tax Practitioners Board (TPB) regarding the circumstances under which a BAS agent may claim a lien over client property in cases where fees remain unpaid.

In line with the TPB's recommendations, we acknowledge that the following materials are generally considered the property of the client, regardless of whether any fees remain outstanding:

• Original source documents (e.g., ledgers, receipts, invoices, journals);

• Correspondence between the client and the Australian Taxation Office (ATO);

• Any software that is licensed in the client's name.

Other materials may be considered the client's property only when there are no unpaid fees relating to the preparation or creation of those items. These include:

• Letters of advice, financial statements, tax returns, and books of account;

• The accounting software file that contains the client's financial data.

Drafts, worksheets, and other internal working documents prepared by the BAS agent remain the property of the agent unless the client has explicitly requested their preparation and the associated fees have been paid in full.

SERVICE COMPLAINTS

If you have any concerns or complaints regarding our services, we encourage you to contact Carly Webb, Moneta Director, in the first instance. We are committed to resolving any issues promptly and fairly.

If we are unable to resolve your concerns to your satisfaction, or if you are unhappy with the outcome, you may refer the matter to the Tax Practitioners Board (TPB). Complaints to the TPB must be submitted in writing via their online complaints form, available at https:// myprofile.tpb.gov.au/ complaints/

CONFIDENTIALITY

Information acquired by us in the course of the engaged services is subject to strict confidentiality requirements. That information will not be disclosed by us to other parties except as required by action of the services or allowed by law, or with your express consent.

TERMINATION

Either party may terminate this engagement at any time by providing 30 days written notice to the other party.

Termination may be initiated for any reason, including a change in circumstances, scope of work, or professional relationship. You will be billed for all work completed up to the termination date.

Upon termination:

• You will be invoiced for all services rendered and expenses incurred up to the effective date of termination. This includes any partially completed work that has been undertaken in good faith in accordance with the terms of this engagement.

• We will take reasonable steps to ensure a smooth transition, including the return of any client documents or records to which you are entitled, subject to the settlement of any outstanding fees.

• We reserve the right to retain working papers and other documents created in the course of our engagement, consistent with our professional obligations.

• Where appropriate, we will provide a summary of outstanding matters or actions required to finalise your records or reporting obligations as of the termination date.

LIMITATION OF LIABILITY

Moneta Bookkeeping Specialists will exercise due care and skill in the performance of the services outlined in this agreement. However, our liability is limited as set out below.

We will not be liable for any loss, damage, or expense arising from errors, omissions, or delays resulting from the provision of inaccurate, incomplete, or misleading information by you or any third party acting on your behalf.

Additionally, we do not accept responsibility for any consequences arising from matters outside our control, including but not limited to:

• Changes in taxation law, ATO policies, or regulatory requirements that occur after the completion of our work;

• system outages or data loss caused by third-party software or cloud service providers;

• Actions or omissions of third parties engaged by you, such as tax agents, legal advisers, or financial professionals.

Except to the extent required by law, our liability for any claim arising in connection with this engagement-whether in contract, tort (including negligence), statute, or otherwise-will be limited to the total fees paid by you for the services provided under this engagement in the 12 months preceding the event giving rise to the claim.

Nothing in this clause is intended to exclude any rights or remedies you may have under the Australian Consumer Law or any other applicable legislation that cannot be lawfully excluded.
